Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) TO ACCESS THE SITES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Zest and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Terms or your misuse of the Sites.

DMCA / Copyright Complaints

If you believe content on the Sites infringes your copyright, send a notice to support@zestdent.com with: (1) your contact info; (2) identification of the work claimed infringed; (3) identification of the allegedly infringing material and its location; (4) a statement of good-faith belief; (5) a statement under penalty of perjury that the information is accurate and that you are authorized to act; and (6) your physical or electronic signature.

Export & Sanctions

You may not use or export the Sites or Content in violation of U.S. export and sanctions laws. You agree to comply with all applicable laws and regulations.

Governing Law & Venue

These Terms are governed by the laws of the State of California without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California for any dispute not subject to arbitration or where arbitration is deemed inapplicable.

Severability; Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of such right or provision.

Entire Agreement

These Terms, together with any additional terms posted for specific services or features, constitute the entire agreement between you and Zest with respect to the Sites and supersede prior or contemporaneous communications covering the Sites.
